General Terms and Conditions of Sale

GTCS

The contractual framework of our services.

These General Terms and Conditions of Sale (GTCS) govern the contractual relations between the client and Hermann Therence Bokapa for creative, strategic, and digital services.

Any validation of a quote, signature of a commercial proposal, or deposit payment implies full acceptance of these GTCS. The conditions are presented to the client for acceptance before each project.

1. Identification of the Parties

The services presented on the hermanntbok.com website are performed by:

Hermann Therence Bokapa – Designer, creative consultant, and digital services provider.

Invoicing for services is handled by the company:

Xperience Plus Group – Company responsible for issuing invoices for the services provided.

2. Object

These GTCS define the conditions under which services are performed, including:

  • visual identity creation
  • branding and brand strategy
  • graphic and web design
  • art direction
  • creative consulting
  • digital content production
  • visual communication consulting

This list is not exhaustive.

3. Acceptance of Conditions

Any order implies that the client:

  • has read the GTCS
  • accepts them in full
  • accepts the project engagement schedule

The GTCS are presented to the client for validation before the start of each project.

4. Ordering Process

The collaboration process includes:

  • contact / service request
  • analysis of client needs
  • establishment of a quote or commercial proposal
  • validation by the client
  • payment of the required deposit
  • start of the project according to the agreed schedule

No project starts without validation and deposit payment.

5. Pricing and Payment

Rates are set according to:

  • nature of the project
  • its complexity
  • estimated production time
  • necessary technical resources

Deposits

  • Standard deposit: 50% of the total amount for most services
  • Reinforced deposit: 70% for complex projects requiring significant resources

The remaining balance is due upon final delivery or according to the terms specified in the quote.

Technology Fees and Licenses

Certain projects may require:

  • software licenses
  • cloud services or professional tools
  • third-party technologies

These costs may be subject to separate invoices.

6. Source Files Clause

The delivery of source files (AI, Figma, PSD, etc.) may be invoiced separately.

The transfer of source files only occurs after full payment of the project and specific agreement in the quote.

7. Engagement Schedule and Refund

A project engagement schedule is established for each service, defining:

  • production schedule
  • key steps
  • validation dates

Possible Refund

If the provider disengages before the actual start of the project, the client may benefit from a full refund.

Once the project is engaged and the schedule is underway, no refund is possible.

In case of misunderstanding or blocking situations leading to a delay or suspension of the project, the status of the project at the time of suspension determines the financial rights and obligations.

8. Deadlines and Project Suspension

Deadlines are estimated according to:

  • project complexity
  • provider availability
  • client responsiveness

Suspension

The provider may suspend a project if:

  • the client does not provide necessary information
  • delay or non-payment
  • abusive behavior
  • misunderstanding blocking the project

Suspension does not entitle to a refund if the project is already engaged.

9. Revisions and Modifications

A limited number of revisions is included in each service.

Additional or major modifications may result in additional fees, communicated before realization.

10. Marketing Use Clause

The provider may present the achievements in:

  • portfolio
  • professional publications
  • communication materials

Unless an explicit request for confidentiality is made before the start of the project.

11. Priority Client Clause

Some clients may benefit from priority status, including:

  • priority access to the schedule
  • accelerated processing of requests
  • priority on current projects

12. Emergency Fee Clause (Rush Fee)

Projects requiring accelerated execution may be subject to additional fees for:

  • project prioritization
  • rapid mobilization of resources
  • adaptation of the production schedule

13. Non-Refund

Deposits paid are non-refundable except in case of provider disengagement before the project start.

  • reservation of production time
  • strategic analysis and project preparation
  • mobilisation of resources

14. Limitation of Liability

The provider cannot be held responsible for:

  • indirect financial losses
  • damages related to the use of deliverables
  • misuse of creations after delivery

15. Force Majeure

The provider cannot be held responsible in case of events beyond their control:

  • natural disasters
  • major technical failures
  • interruptions of third-party services
  • unforeseeable circumstances

16. Litiges and Resolution

In case of dispute:

  • the parties agree to seek an amicable solution
  • possible recourse to mediation
  • as a last resort, the dispute will be submitted to the competent jurisdictions

The parties favor direct discussion before any legal action.

17. Intellectual Property

Creations remain the property of the provider until full payment.

The transfer of rights to the client is limited to the intended use after full payment.

18. Modification of GTCS

These GTCS may be modified at any time.

The applicable version is the one published on hermanntbok.com at the time of the order.
